By accessing or using the Ooty website (ooty.io), desktop application, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
These Terms constitute a legally binding agreement between you and Ooty ("we," "our," or "us"). We may update these Terms from time to time, and your continued use of the Service after any changes constitutes acceptance of the updated Terms.

You must be at least 16 years old to create an account and use the Service.
Upon purchasing a subscription or license, we grant you a non-exclusive, non-transferable, revocable license to use the Ooty application in accordance with your plan type and these Terms.
Each license key may be activated on a limited number of devices as specified by your plan. Individual plans permit activation on one (1) device at a time. Agency plans permit activation on multiple devices according to the number of seats purchased.
Individual plan holders may deactivate a device and activate a new one, subject to a 30-day cooldown period between device rotations. Agency plan administrators may rotate devices instantly without a cooldown period.

Paid subscriptions are billed in advance on a monthly or annual basis depending on the plan selected. All payments are processed through our third-party payment processor, Lemon Squeezy.
We may offer a free trial period. If you do not cancel before the trial ends, your subscription will automatically begin and you will be charged the applicable subscription fee.
You may cancel your subscription at any time through your account dashboard. Upon cancellation, your subscription will remain active until the end of the current billing period, after which your license will expire and the application will revert to free-tier functionality.
Refund requests are handled on a case-by-case basis. If you are unsatisfied with the Service, please contact us through your account dashboard within 14 days of your purchase.
Lifetime licenses, when offered, grant perpetual access to the individual-tier features of the Service as they exist at the time of purchase. Lifetime licenses are for individual use only and do not include agency features. We reserve the right to limit the number of lifetime licenses sold and to discontinue the offering at any time.
The Service integrates with various Google APIs to provide SEO data. By using these features, you acknowledge and agree to the following:
Agency plan subscribers ("Agency Administrators") may invite team members and create workspaces for managing multiple client websites. Agency Administrators agree to:

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Ooty and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
You retain all rights to the data you generate using the Service, including SEO analyses, keyword research results, and reports. We claim no ownership over your content or data.
To the maximum extent permitted by applicable law, in no event shall Ooty, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. SEO data provided through the Service is for informational purposes and should not be solely relied upon for business decisions. Search engine rankings and data are subject to change and are beyond our control.
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
If your account is terminated due to a violation of these Terms, you are not entitled to a refund of any fees paid.
These Terms shall be governed and construed in accordance with the laws of Australia, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
